01. Acceptance of Terms
These Terms & Conditions constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Druti IT, regarding your access to and use of our website, client portals, invoice administration, support channels, and customized software development services.
By accessing the website, registering a client account, or executing a software project contract with us, you agree that you have read, understood, and agree to be bound by all of these Terms & Conditions. If you do not agree, you are prohibited from using our site and services.
02. Scope of Services
Druti IT offers web design, customized software development, mobile application programming, cloud management, and corporate IT support consultation.
- Project Deliverables: The precise roadmap, features, timelines, and milestones of any project will be governed by the specific Statement of Work (SOW) or quotation signed during client onboarding.
- Support Tickets: Clients can open support tickets through our portal dashboard. We aim to address tickets based on urgency, with custom SLA thresholds defined for active retainer contracts.
- Deployment: We assist with deploying the system to production servers as per the client's infrastructure configuration.
03. Client Responsibilities
To achieve high-velocity execution and ensure project success, clients are expected to cooperate fully with our engineering team:
- Provide accurate, complete corporate information when registering an account.
- Deliver necessary media files, project assets, feedback, and server access permissions in a timely manner.
- Maintain the confidentiality of login credentials for the support portal.
- Refrain from reverse engineering, hacking, or attempting to compromise the security of the Druti IT client portal.
04. Billing & Payments
All invoice actions, transaction records, and outstanding payments are managed transparently within our administrative system.
Payments are final once registered in our database. Disputed charges should be raised via a formal support ticket to our billing desk before the invoice due date.
05. Intellectual Property
Ownership of copyright and intellectual property rights is split as follows:
- Custom Deliverables: Upon full clearance of all outstanding invoices, ownership of the custom code and assets developed specifically for a project shifts entirely to the client.
- Proprietary Frameworks: Druti IT retains rights to pre-existing libraries, modular engines, algorithms, or frameworks utilized to construct the client's platform. Clients are granted a lifetime, non-exclusive license to use these modules within their project.
- Site Assets: All database structures, graphics, and system designs on the Druti IT portal are owned by Druti IT.
06. Limitation of Liability
To the maximum extent permitted by law, Druti IT and its developers will not be liable for any indirect, incidental, special, exemplary, or consequential damages. This includes, without limitation, loss of business profits, data corruption, network downtime, database breaches, or missed revenue emerging from the deployment or utilization of our software products.
Our maximum liability for any dispute arising out of or related to a project shall not exceed the total fees paid by the client to Druti IT for that specific contract.
07. Governing Law
These Terms & Conditions and any project contract shall be governed by and constructed in accordance with the laws of the People's Republic of Bangladesh.
Any dispute, controversy, or claim arising out of these terms shall be subject to the exclusive jurisdiction of the state courts located in Dhaka, Bangladesh.
